1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services offered by Honest Synergy Ltd (“we”, “our”, “us”), including consulting, event delivery, digital products, and website features. By engaging with us, purchasing our services, or using our website, you agree to comply with these Terms.

2. Services

We offer:

• Business and event consultancy
• Strategic planning and event execution
• Digital resources and toolkits (e.g. downloadable content)
• Workshops, webinars, and training

Specific deliverables, fees, and timelines will be outlined in a proposal or statement of work (SOW).

3. Booking & Engagement

You may book our services by:

• Accepting a written quote, email confirmation, or proposal
• Purchasing a product or session via our website
• Once a booking is confirmed, these Terms are binding.

4. Fees and Payment

a. Payment Terms

• Invoices are due within 14 days unless stated otherwise
• Project deposits or milestone payments may apply

b. Methods of Payment

• Bank transfer (BACS)
• Online payment platforms

c. Late Payment

• Overdue invoices may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998
• Continued non-payment may result in service suspension or legal action

5. Digital Products

All sales of downloadable or digital products are final. No refunds are issued once access has been granted or the product has been downloaded, in accordance with UK consumer regulations for digital goods.

Products are licensed for single-client internal use only unless otherwise specified. Redistribution is not permitted without written permission.

6. Cancellations & Refunds

Either party may cancel ongoing projects with written notice. Charges will apply for work completed to date and any committed expenses. All terms will be outlined in a contract or statement of work (SOW).

7. Your Responsibilities

Clients are expected to:

• Provide timely information, approvals, and feedback
• Ensure any materials provided are accurate and do not infringe third-party rights
• Act respectfully and professionally throughout our collaboration

8. Intellectual Property

Unless agreed otherwise:

• We retain ownership of intellectual property created during the engagement
• You receive a non-transferable licence to use deliverables for their intended purpose
• You may not resell, distribute, or reuse materials beyond your organisation without written consent

9. Confidentiality

We each agree to keep confidential any information that is clearly marked or understood to be confidential. This includes proposals, pricing, and strategy materials, and continues beyond the end of the project.

10. Liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential losses, including loss of income, data, or business opportunities
• Our total liability is limited to the total fees paid for the specific service in question
• We do not guarantee specific outcomes or results from any service. All services are provided in good faith using reasonable skill and care.

11. Force Majeure

We are not responsible for delays or non-performance due to circumstances beyond our control, including but not limited to illness, acts of nature, strikes, internet outages, pandemics, or government restrictions.

12. Termination

We reserve the right to terminate a service engagement:

• If you breach these Terms or any agreement
• In the event of abusive or inappropriate conduct
• For non-payment or insolvency

You may terminate the engagement at any time in writing, subject to the applicable cancellation terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved through the courts of England and Wales.
